These Terms of Use are entered into between UAB CONNECTING MARKETS and you. By accessing, downloading, using, or clicking on “I agree,” “I accept,” “Start,” or any similar acknowledgment to accept any CONNECTING MARKETS Services provided by UAB CONNECTING MARKETS, you confirm that you have read, understood, and accepted all terms and conditions stipulated in these Terms as well as the Privacy Policy. In addition, when using certain features of CONNECTING MARKETS Services, you may be subject to additional terms and conditions applicable to those features or services, as well as the terms of any third-party platforms with whom we collaborate (referred to as “CONNECTING MARKETS Partners”). By using CONNECTING MARKETS Services, you acknowledge that not all CONNECTING MARKETS Services are provided directly by UAB CONNECTING MARKETS, and UAB CONNECTING MARKETS shall not be liable for any losses, damage, or otherwise resulting from your use of CONNECTING MARKETS Partners’ services.

By accessing, using, or attempting to use CONNECTING MARKETS Services in any capacity, you acknowledge that you accept and agree to be bound by these Terms of Use (“Terms”) and other terms and conditions, including any that may be imposed by CONNECTING MARKETS Partners to provide the CONNECTING MARKETS Services. If you do not agree, we cannot provide CONNECTING MARKETS Services to you.

Our Services

UAB CONNECTING MARKETS provides clients with a straightforward, secure way to exchange Digital Tokens for fiat currency and vice versa (e.g., using credit card, debit card, or bank transfer) through platforms operated by CONNECTING MARKETS Partners (each referred to as a “CONNECTING MARKETS Partner Platform”). Additionally, UAB CONNECTING MARKETS can assist CONNECTING MARKETS Partners in facilitating Digital Token exchange in fiat currency.

Eligibility and Acceptable Use

To use CONNECTING MARKETS Services, you must meet specific eligibility criteria, including being at least 18 years of age and not accessing our services from restricted locations. Further eligibility criteria and acceptable use policies (including those imposed by CONNECTING MARKETS Partners) may also apply. For example, you may not engage in market misconduct or illegal activities, provide false information, or do anything that could damage our services or systems. Risks

Using CONNECTING MARKETS Services to exchange digital assets is speculative and may carry significant financial risks, which may lead to monetary losses. Please only use CONNECTING MARKETS Services if you fully understand these risks.

Complete Terms of Use

These Terms of Use and any terms expressly incorporated herein (“Terms”) apply to your use of the website operated and maintained by UAB CONNECTING MARKETS (“we” or “us”) and the CONNECTING MARKETS Services as described herein.

1. Definitions

        1.1 Capitalized terms not otherwise defined in these Terms will have the following meanings:

        •     “External Account” means any bank account or similar account from which you may transfer or receive funds, as approved by UAB CONNECTING MARKETS or CONNECTING MARKETS Partners for the purpose of using CONNECTING MARKETS Services.

        •     “Funds” means Fiat Currency.

        •     “Fiat Currency” means any national currency.

        •     “CONNECTING MARKETS Account” means a user account opened by UAB CONNECTING MARKETS, through which users may access CONNECTING MARKETS Services, excluding any External Account or other third-party accounts.

        •     “Digital Tokens” refers to encrypted digital tokens or cryptocurrencies based on blockchain technology, as well as their derivatives or other digital assets.

        •     “Digital Token Account” refers to any digital asset account or address owned by you that is hosted outside of CONNECTING MARKETS Services, by CONNECTING MARKETS Partners or other service providers.

2.Eligibility

        2.1 UAB CONNECTING MARKETS may not offer its Services in all locations and may restrict or prohibit access to the CONNECTING MARKETS Services from certain jurisdictions ("Restricted Locations"). The list of Restricted Locations is subject to updates by UAB CONNECTING               

        MARKETS as per legislative and regulatory requirements.

        2.2 You represent and warrant that:

        •     You are at least 18 years old;

        •     You have not been previously suspended or removed from using our Services or similar services;

        •     You are not located in, under the jurisdiction of, or a resident of any Restricted Locations;

        •     You will comply with all applicable regulations, and your execution of these Terms does not violate any laws or regulations applicable to you;

        •     You have read and understand these Terms and agree to comply with them.

3. CONNECTING MARKETS Account

        3.1 Single Account Policy: Unless otherwise approved by UAB CONNECTING MARKETS, you may only register and operate one CONNECTING MARKETS Account. We reserve the right to close additional accounts if discovered.

        3.2 Account Security: In connection with your CONNECTING MARKETS Account, you agree to create a strong password, maintain account security, and promptly notify us if you suspect any security breaches.

4.Privacy Policy

        4.1 Please refer to our Privacy Policy for information on how we collect, use, and disclose your personal data.

5.eneral Obligations

        5.1Conditions and Restrictions: We may, at any time and in our sole discretion, refuse any order submitted via your CONNECTING MARKETS Account, impose limits on purchase amounts, or impose any other conditions or restrictions upon your use of CONNECTING MARKETS Services

        without prior notice.

        5.2 Accuracy of Information: You must provide accurate information when creating your CONNECTING MARKETS Account or prompted by any screen displayed within the CONNECTING MARKETS Services.

        5.3 Order Cancellations: You may only cancel an order initiated through CONNECTING MARKETS Services if the cancellation occurs before UAB CONNECTING MARKETS executes the transaction. Once your order is executed, it is non-reversible.

6. Risks Disclosure

        6.1 You acknowledge that CONNECTING MARKETS Services involve high risk and may expose your financial position to significant volatility. You accept and understand these risks.

7. Fees

        7.1 You agree to pay UAB CONNECTING MARKETS the fees and charges specified on our website or at the point an order is made.

        7.2 Third-Party Fees: Your External Account provider or CONNECTING MARKETS Partners may impose fees, which you will be solely responsible for paying.

8. Electronic Notices

        8.1 Consent to Electronic Delivery: You agree to receive electronic communications, including notices, agreements, and updates, from UAB CONNECTING MARKETS in connection with your CONNECTING MARKETS Account and CONNECTING MARKETS Services.

9.Acceptable Use

        9.1 When accessing or using CONNECTING MARKETS Services, you agree not to engage in any prohibited activities, including:

        •     Using our services in any manner that could interfere with others' enjoyment of CONNECTING MARKETS Services;

        •     Using CONNECTING MARKETS Services to engage in illegal activities, such as fraud or market manipulation;

        •     Introducing harmful materials, such as malware, into the CONNECTING MARKETS Services.

10.Intellectual Property Rights

        10.1 All content and materials on the CONNECTING MARKETS website and provided as part of CONNECTING MARKETS Services are protected by intellectual property laws. You are granted a limited license to use these materials solely for your personal use, subject to these Terms.

11. CONNECTING MARKETS Partners

        11.1 By using CONNECTING MARKETS Services, you represent and warrant that you have read all terms, rules, and policies imposed by CONNECTING MARKETS Partners and agree to be bound by them.

12.Termination

        12.1 In the event of a breach of these Terms or any other relevant circumstances, UAB CONNECTING MARKETS may, at its discretion, suspend or terminate your access to the CONNECTING MARKETS Services without prior notice.

13.Limitation of Liability

        13.1 To the maximum extent permitted by law, UAB CONNECTING MARKETS shall not be liable for any indirect, incidental, or consequential damages arising from your use of CONNECTING MARKETS Services.

14. Applicable Law and Dispute Resolution

        14.1 These Terms shall be governed by the laws of the Republic of Lithuania. In case of disputes, both parties agree to first seek resolution through consultation and, failing that, resolve disputes in the appropriate Lithuanian court.

15.Miscellaneous

        15.1 Amendments: UAB CONNECTING MARKETS reserves the right to modify these Terms from time to time. If changes are made, you will be notified, and continued use of CONNECTING MARKETS Services after such changes constitutes acceptance of the revised Terms.

        15.2 Force Majeure: UAB CONNECTING MARKETS shall not be liable for any delays or failures in performance due to causes beyond its reasonable control, including natural disasters, strikes, or interruptions in telecommunications.

        15.3 Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.

        15.4 Survival: Certain sections, including those on Limitation of Liability, Indemnity, and Dispute Resolution, shall survive termination of these Terms.
